Terms of Service

These terms govern your use of Downpick at downpick.app. By creating an account or using the service you agree to them. If you do not agree, do not use Downpick.
Your account
You are responsible for keeping your credentials secure and for activity under your account. Provide accurate information and notify us of any unauthorized use.
Your content
You retain ownership of the content you add — bands, songs, setlists, gigs, notes, lyrics and audio. You grant us the limited rights needed to store, process and display it back to you and the bandmates you share it with.
You represent and warrant that you own or have all necessary rights, licenses, and permissions to upload and use any content you submit to Downpick. You are solely responsible for ensuring your uploaded media does not infringe the intellectual property rights of others.
Downpick is a rehearsal and performance tool, not a music library. We do not supply recordings, and we do not help you obtain them. Uploading a recording you do not have the rights to use is a violation of these terms.
Copyright & DMCA
We respect intellectual property rights and respond to valid notices of claimed infringement under the Digital Millennium Copyright Act.
To report infringement, send a written notice to our designated agent at dmca@downpick.app that includes: your physical or electronic signature; identification of the copyrighted work claimed to be infringed; identification of the material you say is infringing and enough detail for us to locate it; your contact information; a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
We remove or disable access to material that is the subject of a valid notice and notify the member who submitted it. If you believe material was removed in error, you may send a counter-notice to the same address containing your signature, identification of the removed material and its former location, a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification, your contact information, and your consent to the jurisdiction of the federal court for your district (or, if outside the United States, any district in which we may be found). We may restore the material after the period the statute allows.
Repeat infringers. We terminate the accounts of members who repeatedly infringe the copyrights of others. Depending on the circumstances we may also remove content, suspend a band, or terminate an account for a single clear violation.
Acceptable use
Use Downpick only for lawful band and gig management. Do not abuse, disrupt, reverse-engineer, or attempt to gain unauthorized access to the service or other users' data.
Stage Player desktop app
We grant you a limited, revocable, non-transferable right to install and use Stage Player with the Downpick service for your band's rehearsals and performances. Stage Player checks for signed updates automatically and may replace its installed version after you quit when doing so is safe. Older versions may stop synchronizing new shows after a newer release is fully deployed; already cached shows remain available. You may remove Stage Player at any time if you do not accept an update.
Paid subscriptions
Basic and Pro subscriptions are billed in advance through Stripe at the price and monthly or annual cadence shown before checkout. Annual prices include the displayed 20% discount from twelve monthly payments. Applicable tax is calculated at checkout. Subscriptions renew automatically for the same cadence until cancelled.
You can change or cancel a paid plan from the hosted billing portal in Settings. Cancellation normally takes effect at the end of the current paid period, and access continues until then. Downgrades normally take effect at the next renewal; upgrades may take effect immediately with a prorated charge or credit shown by Stripe. A card-required trial converts to the selected paid plan when the trial ends unless cancelled beforehand.
Except where law requires otherwise, completed charges are not automatically refundable. Contact support@downpick.app to request a case-by-case review. Deleting your Downpick account immediately ends active Stripe subscriptions and does not itself create a refund.
Availability & changes
The service is provided "as is" without warranties. We may update, suspend, or discontinue features, and may revise these terms; continued use means you accept the changes.
